01 Scope of Work

Phase 1 delivers a working core booking loop for Book My Tech, with three connected applications on a single shared data model.

Digital Craft will design, build and deliver the Phase 1 platform as scoped in the Book My Tech Working Brief, comprising three connected applications on a shared backend:

Phase 1 also includes the shared data model and backend infrastructure (database, authentication, edge functions, realtime), payments and payouts integration for marketplace transactions and mechanic earnings, vehicle lookup by registration plate, mapping and geocoding, and transactional email and SMS.

Phase 1 is scheduled for delivery within six months of signing, with progress shared through regular check-ins throughout the engagement. Digital Craft will work to complete Phase 1 sooner where circumstances allow, and any earlier delivery does not affect the agreed fee or payment schedule.

Phase 2 will commence on the execution of a separate written agreement at a fixed fee of £4,500 GBP. The pricing in this clause is held firm until 12 months from the date this agreement is signed.

Payment terms

The full Phase 1 fee of £15,000 has been received in full. All instalments have been paid as set out above.

03 Out of Scope & Change Requests

Anything outside the scope above will be quoted and agreed in writing before work begins.

Any work requested by the Client that falls outside the scope defined in clause 01 — including, without limitation, additional features, redesigns of completed screens, integrations with services not listed in the Working Brief, additional applications, or substantive changes to deliverables already signed off — will be treated as a Change Request.

Each Change Request will be quoted by Digital Craft in writing, with a fixed fee or hourly estimate and a delivery timeline. No work on a Change Request will begin until the Client has accepted the quote in writing (email confirmation is acceptable). Change Requests do not affect the Phase 1 fee or schedule unless explicitly agreed in the same written exchange.

Post-launch maintenance and feature additions after Phase 1 completion are also treated as Change Requests. Bug fixes for defects in the delivered Phase 1 scope are covered at no additional cost under clause 06 and are not Change Requests.

04 Third-Party Services & SMS Credits

Third-party infrastructure and integrations are included by Digital Craft, with SMS credits as the only Client-paid exception.

Digital Craft will provide and maintain the third-party infrastructure required to operate the Phase 1 platform — including hosting, database, authentication, mapping and geocoding, vehicle lookup, transactional email, push notifications and payments setup — at no additional cost to the Client beyond the Phase 1 fee and, where applicable, the optional managed hosting arrangement in clause 05.

The single exception is SMS notifications. SMS credits are paid for by the Client and purchased through the platform's admin console, which provides top-up and balance management. Pricing for SMS credits reflects the underlying provider rate plus a small administrative margin to cover processing.

Where the underlying provider requires the Client to hold a commercial account in their own name (for example, to receive marketplace payouts), Digital Craft will configure and integrate that account but is not the account holder. Any such accounts will be identified to the Client at the point they are needed.

05 Optional Hosting & Managed Infrastructure

An optional Digital Craft-managed hosting and database service at £149 GBP per year.

If the Client elects, Digital Craft will host the Book My Tech platform — including domain configuration, database backend, hosting infrastructure and the supporting systems — under a Digital Craft-managed arrangement at an annual fee of £149 GBP, billed yearly in advance from the handover date.

This arrangement is optional and is taken up by separate written confirmation. It does not include Change Request work or feature development, and does not extend to SMS credits, which remain Client-paid under clause 04. Termination of the managed arrangement requires 30 days written notice; on termination, the platform, domain and data are transferred to a Client-managed environment at no additional fee, subject to the Client establishing equivalent third-party accounts.

If the Client does not elect the managed arrangement, the platform will be deployed to the Client's own hosting and database accounts at handover, with full ownership and administrative access transferred to the Client.

06 Intellectual Property, Acceptance & Defects

On full payment, the Client owns the platform code and assets, and Digital Craft will fix bugs in the delivered Phase 1 scope at no additional cost.

All custom code, designs and assets produced by Digital Craft for the Phase 1 platform transfer to the Client on receipt of the final instalment in clause 02. Digital Craft retains ownership of any pre-existing tooling, libraries or methodology used in delivery, and grants the Client a perpetual, royalty-free licence to use such tooling as integrated into the platform.

The Client acknowledges that third-party services used by the platform (clause 04) are licensed under their respective providers' terms and are not transferred under this agreement.

Each milestone delivered under clause 01 is deemed accepted if the Client has not raised written objections within 7 days of delivery. Digital Craft will fix at no additional cost any defects in the delivered Phase 1 scope — meaning the platform not behaving as scoped in the Working Brief — reported at any time. Requests that fall outside the delivered Phase 1 scope, including new features, redesigns or changes to functionality, remain Change Requests under clause 03.

07 Confidentiality, Termination & Governing Law

Standard confidentiality and termination terms, governed by the laws of England and Wales.

Both parties agree to keep confidential any non-public information shared in the course of this engagement, including the Working Brief, design files, source code prior to handover, business plans and customer data. This obligation survives termination of this agreement.

Either party may terminate this agreement on 30 days written notice. On termination, the Client pays for all work delivered up to the termination date, calculated pro-rata against the milestone schedule. Digital Craft will deliver all work-in-progress assets to the Client on receipt of payment.

This agreement is governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales for any dispute arising from it.
